Thomas Lee has over 20 years of experience in equipment finance. As legal, economic and political climates have evolved over the years, so have the types of transactions. The following is a sampling of the types of transactions we have handled.

  • Aircraft Trading: Representation of sellers, purchasers, financiers, trustees, arrangers and remarketing agents in connection with the sales, purchases, transfers, leases and novations for hundreds of widebody, narrowbody and regional aircraft, helicopters and aircraft-related equipment.  Development of model aircraft and trust transfer documentation for client form files.
  • Aircraft Operating and Finance Leases: Representation of U.S. and foreign lenders, lessors and lessees in connection with numerous operating and finance leases for aircraft registered around the world.
  • Aircraft and Lease Portfolio Transfers: Representation of the equity investor in the transfer of a 30-aircraft portfolio on lease to airlines in North America, Europe, Middle East, Asia and Latin America, under an ABS facility.  Representation of the purchaser in the acquisition of a portfolio of eight-aircraft on lease to airlines in the U.S., Africa, Europe and Asia and the related bank acquisition loan facility.  Representation of the purchaser in the acquisition of a seven-aircraft beneficial interest portfolio and the related acquisition financing.
  • Asset Financings: Representation of the borrower in warehouse facility (featuring a PDP option) totaling approximately $330 million and acquisitions and advances under such facility. Representation of borrowers and lenders in numerous single- and multiple-asset acquisition and back-leverage financings.  Representation of U.S. and foreign lenders and borrowers (including airlines) in connection with numerous debt (both secured and unsecured) financings for aircraft registered around the world or for general corporate purposes.
  • Airline Bankruptcies: Representation of U.S. and foreign creditors and U.S. airlines in connection with U.S. airline bankruptcies, including acceptances, rejections, workouts, repossessions and dispositions of hundreds of aircraft and trading of bankruptcy claims.
  • Export Credit Agency Financings: Representation of both borrowers and credit agencies in connection with export credit agency financings.
  • Receivables Factoring Programs: Representation of engine and other aviation equipment manufacturers in connection with  receivables factoring programs.
